CONSTITUTION AND BYLAWS

PEACE LUTHERAN LADIES GUILD
OF
PEACE LUTHERAN CHURCH
ALMA, MICHIGAN
CONSTITUTION
1.0 NAME
The name of this organization shall be Peace Lutheran Ladies Guild of Peace Lutheran Church, Alma, Michigan herein known as "the Guild.â€
2.0 OBJECT
The object of the Guild shall be to serve our local congregation as needed, to foster fellowship on a spiritual and social level, and to help in the charitable endeavors of our Church.
3.0 MEMBERSHIP
All women of the congregation who are communicant members of Peace Lutheran Church are welcome to be members of the Guild. Every member has the right to vote and to hold office. Every member is encouraged to attend meetings regularly, contribute to the financial support and participate in the service projects of the Guild.
4.0 OFFICERS
The officers of the Guild shall be: President, Vice President, Secretary and Treasurer.
There shall be an Executive Board composed of the officers.
5.0 DUTIES OF OFFICERS
5.1 The President shall preside at all meetings of the Guild and the Executive Board. She shall enforce all rules and resolutions of the Guild, appoint committee chairpersons, schedule Sunday coffee hostesses, order cakes for special occasions, appoint officers to fill vacancies, and oversee activities of the Guild in general and the work of the committees.
5.2 The Vice President shall assist the President in performing her duties and shall assume the duties of the President in her absence. In the event that a vacancy occurs in the office of the President, the Vice President shall succeed to the office of President for the remainder of the term.
5.3 The Secretary shall keep a record of the proceedings at all business meetings of the Guild.
5.4 The Treasurer shall collect all money for the Guild, keep a record of all receipts and disbursements, and pay all approved bills. She shall present a monthly report at every regular business meeting.
5.5 The Executive Board shall decide the agenda to be discussed at the Guild meetings and ensure all business of the Guild is conducted in a timely fashion.
6.0 COMMITTEES
It is the duty of the chairperson of each committee to see that the committee's responsibilities are fulfilled. These responsibilities include but are not limited to the following:
6.1 Altar
6.1.1 Keep supplies ordered
6.1.2 Schedule altar duty
6.1.3 Prepare the altar for each service and Communion for Divine Service
6.1.4 Clean linens and pastoral robes
6.1.5 Follow special instructions from Pastor
6.1.6 Order altar flower arrangements
6.2 Banner
6.2.1 Repair and maintain all banners
6.2.2 Display proper banners
6.2.3 Oversee making or ordering new banners
6.3 Charitable Collections
6.3.1 Organize and post current collections
6.3.2 Store items collected and ship at proper times
6.4 Kitchen
6.4.1 Collect Sunday coffee donations
6.4.2 Keep kitchen supplied
6.5 Library
6.5.1 Provide a list of new books to the Guild and the church secretary for inclusion in the newsletter
6.5.2 Keep library organized
6.6 Special Events
6.6.1 Organize all special events
6.6.2 Keep an updated congregational member list
6.6.3 Keep the special events folder updated
6.7 Sunshine
6.7.1 Send cards appropriate for the occasion to congregational members in a timely fashion
7.0 DISSOLUTION
The Guild shall not be dissolved as long as the members desire its continuance. In case of dissolution all funds of the Guild shall be given to the Church Council to be dispersed.
8.0 RESIGNATIONS
Any officer wishing to resign shall submit to the Executive Board a written resignation. In the event of a vacancy in an elected office the President shall appoint a successor to serve the remainder of the term.
9.0 AMENDMENTS TO THE CONSTITUTION AND BYLAWS
This constitution and the bylaws may be amended by a 2/3 vote of all members present at any regular business meeting, provided notice of the changes intended to be made has been given in the previous regular business meeting.
BYLAWS
1.0 MEETINGS
The regular business meeting of the Guild shall be held on the first Monday of each month September through May except when the Executive Board deems it advisable to meet on another day. Announcement of changes will be made to the congregation through the bulletin, newsletter or by announcement at least a week prior to the meeting. Special meetings can be called by the Executive Board when necessary.
2.0 CONTRIBUTIONS
Mites will be collected by the Treasurer at each regular business meeting and shall be used for pre-designated charities or missions.
3.0 ELECTIONS
All officers are elected for a term of one year. The election is held at the regular business meeting in May. A majority of the votes cast by the members present is necessary for election. A nominating committee consisting of the President, Vice President and Secretary shall draw up a slate of candidates prior to the meeting.
